STANDARD LIMITED WARRANTY

Terms and Conditions- Effective 01/01/2025

PowerGPU, LLC (“PowerGPU”) expressly warrants to the original purchaser only (“Client”) that PowerGPU’s custom-built gaming systems (“Custom Systems”):

(a) Parts & Labor — 3 Years. Will be free from material defects in parts, materials, components, and workmanship for a period of three (3) years commencing from the date the Client receives the Custom System; and

(b) Workmanship Standard. All labor and services performed by PowerGPU will be performed in conformity with accepted industry standards and in a workmanlike manner.

Within the warranty period, PowerGPU will, at its sole option: (1) repair without charge any material defect in parts, materials, components, or workmanship; (2) replace without charge any defective component or part; or (3) refund the purchase price of the Custom System, in PowerGPU’s sole discretion, where repair or replacement is not commercially practicable.

Like-for-Like Standard. PowerGPU’s obligation to repair or replace components shall be limited to the model or product available at the time of repair that is of the same likeness, kind, quality, and performance as the defective part. PowerGPU shall not be obligated to replace a defective part with a superior part. At Client’s request, and in PowerGPU’s sole discretion, PowerGPU may replace the defective part with an upgraded part if Client consents in writing to pay the difference in cost.

Authorized Repair Provider. PowerGPU is the sole and exclusive authorized provider of repairs or replacements under this warranty. Any repair or replacement performed by any third party will immediately and permanently void this warranty. Any repair or replacement performed under this warranty shall not extend the original three-year warranty period.

Component Manufacturer Warranties. All components and component parts PowerGPU uses to build its Custom Systems carry their own respective manufacturer warranties. PowerGPU provides no additional separate warranty for individual components beyond what is stated above. As a courtesy, PowerGPU will assist Client in pursuing a manufacturer’s warranty claim where applicable, but assumes no obligation or liability in connection with any manufacturer’s warranty.

Lifetime Technical Support. PowerGPU will provide lifetime technical support to the original Client, strictly limited to: diagnosing and resolving hardware defects covered under this warranty; providing guidance on warranty claim submission and return shipping procedures; and advising on compatible hardware upgrades performed by PowerGPU. Lifetime support does not include general PC usage assistance, software installation or troubleshooting of any kind, operating system support, game or application support, driver installation beyond initial build configuration, or any support arising from issues excluded under the Exclusions & Limitations section of this warranty.

Shipping & Returns. PowerGPU will cover the cost of two-way shipping for Clients located within the United States, provided Client uses the original shipping boxes and packing materials PowerGPU used to deliver the Custom System. If Client does not have the original packaging, Client is responsible for all shipping costs and must use packaging of equivalent protective quality. PowerGPU is not responsible for damage caused by inadequate packaging chosen by Client. Clients shipping from outside the United States are solely responsible for all shipping costs, customs duties, taxes, and import/export fees. PowerGPU will assess and, where covered under this warranty, repair damage arising during the return shipping process; where shipping damage results from inadequate packaging by Client, the cost of repair may be Client’s responsibility. Client shall follow all of PowerGPU’s return shipping instructions prior to shipping any items to PowerGPU.

Component Valuation & Discontinuation Policy — Effective 08/16/2026

This section applies to all Custom Systems purchased on or after August 16, 2026, and supersedes any prior informal representations regarding component replacement valuation. Custom Systems purchased prior to August 16, 2026 remain governed exclusively by the Standard Limited Warranty terms effective 01/01/2025 as stated above.

1. Component Valuation at Time of Sale. The warranty value of each individual component within a Custom System is fixed at the documented wholesale cost paid by PowerGPU for that component at the time of the original sale ("Original Component Value"). The Original Component Value is recorded in PowerGPU's internal order documentation at the time of purchase and serves as the sole basis for any component reimbursement, credit, or cash-equivalent remedy under this warranty.

2. Discontinued or Unavailable Components. In the event that a defective component subject to a valid warranty claim is no longer manufactured, has been discontinued, or is otherwise commercially unavailable at the time of the warranty claim, PowerGPU's obligation shall be limited to one of the following remedies, at PowerGPU's sole discretion:

(a) Nearest Available Equivalent. PowerGPU will source and install the nearest available component that matches or reasonably approximates the original component's performance specifications, at no additional charge to the Client, provided the replacement component's cost to PowerGPU does not exceed the Original Component Value; or

(b) Original Component Value Credit or Reimbursement. Where no reasonably equivalent component is available at or below the Original Component Value, PowerGPU will issue a credit or cash reimbursement equal to the Original Component Value of the defective component. This credit or reimbursement represents PowerGPU's full and final satisfaction of its warranty obligation with respect to that component.

3. Market Price Fluctuation. PowerGPU's warranty obligations are expressly limited to the Original Component Value and are not adjusted for market price increases, inflation, supply chain fluctuations, tariff impacts, component generation changes, or any other external pricing factors that may cause the current replacement cost of a component to exceed its Original Component Value. Client acknowledges that the technology and components market is subject to significant price variability and expressly agrees that PowerGPU's liability is capped at the Original Component Value documented at time of sale.

4. Upgrade at Client's Election. If Client wishes to receive a replacement component that exceeds the performance tier or current market value of the original defective component, Client may elect to do so by paying the difference between PowerGPU's current cost to source the upgraded component and the Original Component Value of the defective part. Any such upgrade election must be agreed to in writing by both parties prior to PowerGPU sourcing the replacement component.

5. Documentation. PowerGPU maintains internal records of Original Component Values for all Custom Systems at the time of sale. Clients may request a written summary of their system's documented component values by contacting PowerGPU through the Technical Support page on our website. PowerGPU reserves the right to verify and confirm Original Component Values against its internal records before processing any reimbursement or credit.

6. No Obligation Beyond Original Component Value. Under no circumstances shall PowerGPU be obligated to pay, credit, or reimburse any amount exceeding the Original Component Value of any defective component, regardless of current market pricing, replacement availability, or any other factor. This limitation applies in addition to, and does not replace, any limitation of liability set forth in the Exclusions & Limitations section of this warranty.

Exclusions & Limitations

This Limited Warranty specifically excludes damage or defects that result from normal wear and tear, accident, neglect, abuse, misuse, user error, user-performed modifications, user-performed upgrades or installations of any kind, problems with electrical power, power surges, use of improper power sources, failure to perform recommended preventive maintenance, physical damage (including cracks, dents, broken ports, or liquid damage), environmental damage (including heat, humidity, corrosion, or electrostatic discharge), or use that does not conform to the specifications given by PowerGPU or by any component manufacturer.

Software Exclusion. PowerGPU’s warranty does not cover software of any kind, including but not limited to operating systems, drivers, applications, games, or firmware not originally installed by PowerGPU as part of the initial build. Lifetime support does not extend to software support of any nature.

This Limited Warranty is void in its entirety if: BIOS or UEFI settings are altered from PowerGPU’s factory configuration; any overclocking of any component is performed; ownership or possession of the Custom System is transferred, sold, gifted, or conveyed to any person or entity other than the original Client; Client fails or refuses to follow instructions provided by PowerGPU’s technical support team; or any repair, replacement, or modification is performed by any party other than PowerGPU. Any repair or replacement performed by PowerGPU shall not extend the original three-year warranty period of this Limited Warranty.

THIS LIMITED WARRANTY IS AN EXPRESS WRITTEN WARRANTY AND POWERGPU HEREBY DISCLAIMS ALL OTHER WARRANTIES, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, SUITABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT WITH RESPECT TO ANY OF POWERGPU’S CUSTOM SYSTEMS OR SERVICES, ALL SUCH IMPLIED WARRANTIES BEING SPECIFICALLY DISCLAIMED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

CLIENT’S EXCLUSIVE REMEDY AND POWERGPU’S ENTIRE LIABILITY FOR BREACH OF WARRANTY SHALL BE, AT POWERGPU’S SOLE DISCRETION, THE REPAIR OR REPLACEMENT OF A CUSTOM SYSTEM, OR ITS COMPONENTS OR PARTS, THAT MANIFESTS A MATERIAL DEFECT IN PARTS, MATERIALS, COMPONENTS, OR WORKMANSHIP, OR A REFUND OF THE PURCHASE PRICE THEREOF AFTER THE CUSTOM SYSTEM IS RETURNED TO POWERGPU.

IN NO EVENT SHALL POWERGPU BE LIABLE TO CLIENT FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO ANY LOSS OF PROFITS, REVENUE, OR DATA ARISING OUT OF OR RELATED TO THIS LIMITED WARRANTY, WHETHER IN CONTRACT, TORT, OR OTHERWISE AND REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE.
